MyFFTOC TERMS OF SERVICE

1. ACCEPTANCE OF TERMS
Fantasy Tournaments LLC provides the service MyFFTOC to you, subject to the following Terms of Service ("TOS"), which may be modified by Fantasy Tournaments LLC from time to time without notice to you. In addition, Fantasy Tournaments LLC reserves the right to update any rules applicable to all MyFFOTC services, which may be posted from time to time. By using MyFFTOC you understand different terms may exist for FFTOC and MyFFTOC and each are governed by different Terms of Service. The section titles in the TOS are for convenience only and have no legal or contractual effect.

2. DESCRIPTION OF SERVICE and RESPONSIBILITIES
Fantasy Tournaments LLC offers MyFFTOC as a web-based league management system for you to use to play fantasy football via the Internet at http://www.fftoc.com. The MyFFTOC service provides users with software, stats and other resources, including various communications tools, forums, personalized content and branded material through its network of properties which may be accessed through any various medium or device now known or hereafter developed (the "Service"). You acknowledge, accept and agree that you are required to provide your own access to the World Wide Web and pay any service fees associated with such access, and provide all equipment necessary for you to make such connection to the World Wide Web. You understand and agree that the Service is provided "AS-IS" and “AS-AVAILABLE” and Fantasy Tournaments LLC assumes no responsibility for the timeliness, accuracy, mis-delivery or failure to store any user information or lineup data. In addition, you are fully responsible for obtaining access to the Service and that access may involve third party fees, including but not limited to all ISP charges. You are responsible for those fees. You also understand and agree that the Service may include advertisements and that these advertisements may be necessary for Fantasy Tournaments LLC to provide the Service. You also understand and agree that the Service may include certain communications, including but not limited to service announcements and administrative messages. You also agree, everything herein applies to current and future MyFFTOC deliverables and upgrades. In addition, for using the Service, you represent and declare that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the United States. You also agree to provide accurate, current and true information about yourself as prompted by the Service from time to time, as needed. In addition, you understand that you are fully responsible for maintaining the confidentiality of all MyFFTOC and FFTOC passwords, login-IDs and other related account information. You agree that Fantasy Tournaments LLC may establish general practices and limits concerning use of the Service, including email messages, message board postings or other uploaded content. You also agree to immediately notify Fantasy Tournaments LLC of any unauthorized use of your password or account or any other breach of security, and ensure that you exit from your account at the end of each usage session. Fantasy Tournaments LLC is not liable for any loss or damage arising from your failure to comply with this Service and all sections herein.

3. EXTERNAL LINKS
The Service may contain links to third party websites. These links are provided solely as a convenience to you and unless otherwise noted, do not imply an endorsement by Fantasy Tournaments LLC or its officers, directors and employees. 4. CONDUCT
You understand that you, and not Fantasy Tournaments LLC are entirely responsible for all content that you upload, post, email, transmit or otherwise make available via the Service. You understand that by using the Service, you may be exposed to content that is offensive, indecent or objectionable. Under no circumstances will Fantasy Tournaments LLC be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed, transmitted or otherwise made available via the Service. You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for commercial purposes, any portion of the Service You agree not to reverse engineer or disassemble any software or other products or processes accessible through the Service including use of a data gathering system. Any unauthorized reproduction, publication, further distribution or public exhibition of the materials provided on the Service is not allowed. In addition, you understand you may not post, email, transmit or otherwise make available any material that you do not have a right to make available under any law or under contractual or fiduciary relationships. This includes infringing on any patent, trademark, copyright or other proprietary intellectual rights of another party. Using the Service to send Spam is strictly prohibited. You may not use the Service for any illegal purpose or in any manner inconsistent with these Terms. You agree to use the Service solely for your own noncommercial use and benefit and not for resale or other transfer or disposition to any other person or entity. You also must never interfere with or disrupt the Service, or disobey any requirements, procedures, policies or regulations of networks connected to the Service. You also agree to comply with all applicable local and national laws. You acknowledge, consent and agree that Fantasy Tournaments LLC may access and disclose your account information and content if required to do so by law. You also agree you may be subject to additional terms and conditions that may apply if you use or purchase other Fantasy Tournaments LLC services.

5. EVENT TAMPERING
ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE THE FFTOC or MyFFTOC WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SERVICE IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND IN THE EVENT THAT AN ATTEMPT BE MADE, FANTASY TOURNAMENTS LLC RESERVES THE RIGHT TO SEEK DAMAGES TO THE FULLEST EXTENT OF THE LAW.

6. CONTENT REMOVAL
You understand, Fantasy Tournaments LLC may, in their sole discretion, refuse, or move any content that is available via the Service. Without limiting the foregoing, Fantasy Tournaments LLC shall have the right to remove any content that violates the TOS or is otherwise objectionable including without limitation information on any Fantasy Tournaments LLC Message Board, and in all other parts of the Service.

7. CONTENT RIGHTS, IDEAS AND CREATIVE
You grant Fantasy Tournaments LLC royalty free use and non-exclusive license to any content you may create in the process of using the Service. You also agree all of your forwarded creative materials (articles, ideas, etc.) and other submissions become the property of Fantasy Tournaments LLC This includes and is not limited to your email, message board posts, letter mail and other communications.

8. RIGHT TO TERMINATE SERVICE
You understand, that if Fantasy Tournaments LLC has reason to suspect that you are in violation of the Service, Fantasy Tournaments LLC has the full right, without refund to you, to suspend or terminate your account and refuse any and all current or future use of the Service or any portion of it. In addition, you understand Fantasy Tournaments LLC will report any alleged criminal doings to government authorities. You agree that Fantasy Tournaments LLC shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service. You also agree that Fantasy Tournaments LLC may, without notice, terminate your account, due to your breach or violations of the TOS.

9. RESERVED RIGHTS
All rights not expressly stated or granted herein are reserved to Fantasy Tournaments LLC

11. INDEMNITY
You agree to indemnify and hold Fantasy Tournaments LLC, and its subsidiaries, affiliates, officers, agents, co-branders, private label partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of content you submit, post, transmit or make available through the Service, your use of the Service, your connection to the Service, your violation of the TOS, or your violation of any rights of another. Fantasy Tournaments LLC is not responsible for any MyFFTOC disruptions, injuries, losses or damages caused by events beyond the control of Fantasy Tournaments LLC or any printing or typographical errors in any materials associated with MyFFTOC. Fantasy Tournaments LLC or any subsidiary, affiliated company, or vendor are not in any way responsible or liable for any damage, loss or injury (including death) resulting from any participant’s activity in the MyFFTOC.

12. VIOLATIONS
Please report any violations of the Terms to our Customer Support Department.

13. PROPRIETARY RIGHTS
You agree that the Service and any necessary software used in connection with the Service contains proprietary information that is protected by applicable intellectual property laws. All information, statistics, software, graphics and other copyrightable elements displayed as part of the Service are the property of Fantasy Tournaments LLC and/or its affiliates. All materials are protected, without limitation, pursuant to U.S. and foreign copyright, trademark and other applicable laws. You may not portray MyFFTOC, Fantasy Tournaments LLC or any associated person or subject in a false or misleading light. You are not permitted to injure FFTOC or MyFFTOC’s reputation and expose this Web Site to public contempt or degradation. Further you may not publish statements or ratings about the Service that you know (or should know) are false. If you mention the Service via electronic or other public communication channels, you may not misrepresent your relationship or present false or misleading impressions about the Service. Fantasy Tournaments LLC grants you a personal, non-transferable and non-exclusive right and license to use the object code of its software given you do not copy, modify or otherwise attempt to discover any source code, sell, assign, sublicense or grant a security interest in the Service code.

14. DISCLAIMERS
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOU AGREE ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL. YOU ALSO AGREE THAT Fantasy Tournaments LLC SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT OR INCIDENTAL DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES. IN ADDITION, Fantasy Tournaments LLC SHALL NOT BE HELD RESPONSIBLE FOR ERROR OR OMISSION PERTAINING TO THE ACCURACY AND RELIABILITY OF ANY OF THE INFORMATION RELATED TO THE SERVICE. IN NO EVENT SHALL FANTASY TOURNAMENTS LLC’s TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE PURCHASE PRICE OF THE PRODUCT. FANTASY TOURNAMENTS LLC MAY MODIFY THIS AGREEMENT WITHOUT NOTICE.

15. SCOPE AND USAGE
If any provision of this Agreement is determined invalid, all other provisions will remain in effect as fully valid.

16. UNDERSTAND AND AGREE
I have read and understand this argeement and agree to be bound by all of its terms. By using this web site and the Service you hereby agree to be bound by all the terms and conditions contained in this agreement.
